Agreement to Terms

By accessing or using the NoxuLabs website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Services

NoxuLabs provides digital marketing, web design, web development, SEO, AI automation, and related services. The specific scope, deliverables, and timeline for each project are defined in individual proposals or statements of work agreed upon by both parties.

Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information needed for project completion
• Review and provide feedback on deliverables within agreed timelines
• Ensure you have the rights to any content, images, or materials you provide
• Maintain the confidentiality of any login credentials we provide
• Make payments according to the agreed schedule

Payment Terms

• Monthly retainer plans are billed on the first of each month
• One-time projects follow the payment milestones outlined in the proposal
• Late payments may incur a fee of 1.5% per month on outstanding balances
• We reserve the right to pause work on accounts with balances overdue by 30+ days

Intellectual Property

Our work product

Upon full payment, you own the final deliverables including custom designs, code, and content created specifically for your project. We retain the right to use anonymized versions of work in our portfolio unless otherwise agreed.

Third-party assets

Some projects may incorporate third-party tools, plugins, fonts, or stock imagery that are subject to their own license terms. We will disclose any such dependencies.

Pre-existing materials

We retain ownership of our proprietary tools, frameworks, templates, and methodologies that existed before the engagement.

Warranties and Limitations

We strive to deliver high-quality work but cannot guarantee specific business outcomes such as search engine rankings, traffic volumes, or conversion rates. Our services are provided “as is” to the extent permitted by law.

Our total liability for any claim arising from our services shall not exceed the fees paid for the specific service giving rise to the claim.

Termination

• Monthly plans may be cancelled with 30 days written notice
• Either party may terminate for material breach if not cured within 15 days of written notice
• Upon termination, you are responsible for payment for all work completed to date
• We will provide reasonable assistance in transitioning your assets and accounts

Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement, including business strategies, financial information, and technical details. This obligation survives termination of services.

Dispute Resolution

Any disputes arising from these terms or our services will first be addressed through good-faith negotiation. If unresolved, disputes will be submitted to binding arbitration in accordance with applicable rules.

Changes to Terms

We may update these Terms of Service from time to time. Continued use of our services after changes constitutes acceptance of the updated terms.
